These Terms and Conditions of Use are being delivered via electronic transmission and are binding on both parties upon electronic assent thereto by Licensee

Upon acknowledgement and acceptance of these Terms and Conditions of Use by Licensee by electronic means, Embecta Corp., on behalf of itself and its subsidiaries ('embecta') hereby grants to Licensee the following non-exclusive, royalty-free permission to reprint, reproduce, publish and distribute the material requested by Licensee through its online submission, a copy of which accompanies these Terms and Conditions of Use, (hereinafter the 'Material'), subject to the following:

1. Licensee is permitted to reprint the Material solely for the purpose set forth in Licensee’s Permission Request submission, or as subsequently clarified by the parties and documented in embecta’s records.
2. The Material Licensee proposes to publish and distribute, and the purpose therefor, shall be submitted in the exact form in which it is intended and requested to be published for embecta’s written approval.
3. Printing, reproduction, publication and distribution of the Material shall be at the Licensee’s sole expense and bear a copyright notice in substantially the following form: Courtesy and © Embecta Corp. Reprinted with permission.
4. If at any time embecta, in its sole discretion, determines that the Material should be revised, then Licensee shall discontinue further reproduction, publication and distribution of the Material and cooperate in replacing the same with the revised Material as soon as reasonably feasible.
5. Licensee hereby acknowledges that embecta is the owner of all right, title and interest in and to the Material and all revisions, derivations and other modifications thereto as provided for herein. Licensee has no right to and shall not be permitted to revise, modify and/or create any derivative works of the Material.
6. All rights not expressly granted herein to Licensee are reserved to embecta, which may fully and always exercise and exploit the same. Embecta may at any time in its sole discretion withdraw this permission if it appears to embecta that Licensee has breached any of the Terms and Conditions of Use herein.
7. The Materials are provided on an 'as is, as available, with all faults' basis. Embecta expressly disclaims all warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. Embecta disclaims all responsibility for any loss, injury, claim, liability or damage of any kind resulting from, arising out of or in any way related to (i) any errors in or omissions from the Materials, including, but not limited to, technical inaccuracies and typographical errors, and (ii) your use of the Materials.
8. Licensee shall indemnify and hold embecta harmless from and against all, and embecta shall in no circumstances be liable for any, third-party claims, suits and actions, and all damages, liability, losses or expenses (including, without limitation, reasonable lawyer's fees) arising therefrom incurred or suffered by Licensee that arise from or relate to (i) the sale, distribution, marketing or commercialisation directly or indirectly by Licensee of its products or solutions, (ii) the mis-use of the Material, or (iii) Licensee’s negligence or wilful misconduct related to the use of the Material.
