Please note that if you are an existing customer or supplier of embecta, these terms are not intended to replace or modify those contained in your customer or vendor agreement. In case of an inconsistency, the terms and conditions of your written agreement will prevail over those contained herein. All embecta products and services may also be subject to separate terms and conditions which govern their use which may be made available together with the products’ labelling and/ or as online terms.

embecta reserves the right to update or modify this Agreement at any time without prior notice. Your use of this Site following any such change constitutes your agreement to follow and be bound by this Agreement as revised. For this reason, we encourage you to review this Agreement each time you use this Site. This Agreement was last revised on February 26, 2023.

ARBITRATION NOTICE. You agree that disputes arising under this Agreement will be resolved by binding arbitration, and BY ACCEPTING THIS AGREEMENT, YOU AND EMBECTA ARE EACH WAVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

The Site is administered by embecta from Parsipanny, NJ in the United States. This Site and its contents (the "Content") are designed to comply with United States laws and regulations.

You are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the Site and all charges related thereto. embecta reserves the right to alter or delete material Content from this Site at any time. Any claim relating to, and the use of, this Site are governed by the laws of the State of Delaware, United States of America.

If any dispute arises between you and embecta concerning this Agreement or your use of this Site, it shall be resolved through good-faith negotiations. If such efforts prove unsuccessful, all controversies, claims, or disputes shall be submitted to binding arbitration pursuant to the U.S. Federal Arbitration Act, 9 U.S.C. § 1 et seq. The rules of the American Arbitration Association shall apply to the conduct of the hearing, which shall be venued in Delaware. THE GOVERNING LAW SHALL BE THE LAWS OF THE STATE OF DELAWARE, WITHOUT GIVING EFFECT TO ITS CONFLICT OF LAWS RULES. The arbitration award shall be final and binding and may be confirmed and enforced in any court of competent jurisdiction. The parties shall bear equally the costs of the arbitration, but each party shall pay its own attorneys’ fees incurred in connection with the arbitration or the confirmation or enforcement of any award. Notwithstanding the foregoing, if the costs of arbitration will be prohibitive as compared to the costs of litigation and the relief sought, embecta will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse embecta for all fees associated with the arbitration paid by embecta on your behalf that you otherwise would be obligated to pay.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

YOU AND EMBECTA AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.

This Agreement constitutes the entire agreement between you and embecta with respect to your access to and/or use of this Site. Any claims arising in connection with your use of the Site or any Content must be brought within one (1) year of the date of the event giving rise to such action occurred. All provisions of this Agreement pertaining to indemnification, disclaimer or warranties, limitation of liability and proprietary rights shall survive the termination of this Agreement for any reason. If any provision of this Agreement is invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid enforceable provision that closely matches the intent of the original provision. The failure by us to exercise or enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision. All rights not expressly granted herein are hereby reserved.
